Terms of Use Agreement

In this agreement the term "calculator" shall refer to the Geographic Midpoint Calculator along with the calculations derived from the calculator, the maps generated by the calculator and all other information on the GeoMidpoint.com website, including the data and the documentation, and the term "GeoMidpoint" shall refer to the owners and employees of the GeoMidpoint.com website.

The following terms and conditions regulate the relationship between GeoMidpoint and you as an individual or single entity, the user of the GeoMidpoint.com website. Your use of the calculator is subject to these terms. By using the calculator you agree to be bound by these terms and you will ensure that anyone to whom you provide the calculator or calculations derived from the calculator will also agree to be bound by these terms. GeoMidpoint reserves the right to revise these terms, and you agree to be bound by such revisions whenever they are posted on the GeoMidpoint.com website. Check the website periodically for any changes.

LIMITED LICENSE
Subject to the terms and conditions of this terms of use agreement, GeoMidpoint grants you a non-exclusive, non-transferable license to use the calculator for the purpose of calculating midpoints. The calculator is provided to you for personal use only, and is not suited for professional or commercial use, nor for purposes that require fail-safe operation in order to avoid risk to human life, including, but not limited to aircraft navigation, sea or fresh-water navigation, land navigation, air traffic control, or communications systems. .

LIMITATION OF LIABILITY.
In no event shall GeoMidpoint have liability for any indirect, direct, incidental, special, punitive or consequential damages that result from the use of or inability to use the calculator, including, but not limited to, loss of profits, business interruption, or loss of information. If you use the calculator or calculations derived from the calculator, you do so at your own risk. These limitations of liability apply, however caused and on any theory of liability, even if GeoMidpoint has been advised of the possibility of such damages. THESE LIMITATIONS SHALL APPLY NOTWITHSTANDING ANY FAILURE OF ESSENTIAL PURPOSE OF ANY LIMITED REMEDY. These limitations only apply to the extent permitted by law.

WARRANTY DISCLAIMER
You agree that the calculator may contain errors and inaccuracies. The calculator is provided "as is" without warranty of any kind, whether express, implied, or statutory. The GeoMidpoint.com website has suggested some possible uses for the calculator, however, GeoMidpoint specifically disclaims all implied warranties of merchantability, noninfringement, and fitness for a particular purpose.

FEEDBACK AND SUBMISSIONS
You may provide feedback to GeoMidpoint concerning the functionality and performance of the calculator, including error reports, suggestions for improvements, and submissions of information for possible inclusion on the GeoMidpoint.com website. You agree that all such information may be used by GeoMidpoint in any way that it sees fit, and, accordingly, GeoMidpoint shall have a perpetual, worldwide right to use, modify, and utilize such feedback and information without restriction and without compensation to the provider of the information.

OWNERSHIP
GeoMidpoint shall own all intellectual property rights, title and interest in the calculator and any derivative works thereof. All rights not expressly granted are reserved to GeoMidpoint.

RESTRICTIONS
You agree not to use the calculator in any way not expressly permitted in the terms of use agreement. Neither you nor any third party will copy, sublicense, create derivitive works of, disassemble, or decompile any portion of the calculator. You may not incorporate any part of the calculator, either whole or modified into any product development or commercial endeavor.

TERM AND TERMINATION
If GeoMidpoint determines that you have failed to comply with the terms of this agreement, your limited license shall be terminated immediately without notice and you shall immediately cease using the calculator.

The GeoMidpoint.com website contains links to external websites. Use these websites at your own risk. GeoMidpoint does not endorse any product or service on these websites, nor does it guarantee the accuracy of any information on these websites.

JURISDICTION This Agreement shall be governed by and construed in accordance with the laws of the State of Nevada, without giving effect to any principles of conflicts of laws, and you hereby consent to the exclusive personal jurisdiction and venue of state and courts located in Clark County, Nevada for all disputes arising out of this Agreement. In the event that any liability is imposed on GeoMidpoint, the liability of GeoMidpoint to you or any third party shall not exceed ten US dollars.

This constitutes the entire terms of use agreement. If a court of competence finds any term herein to be unlawful or invalid, the remaining terms shall remain in full force and effect.
